Relevant Transaction Experience
Members of the firm were part of the team that:
• Conducted legal due diligence on Jos Electricity Distribution Company Limited (JEDC) and Yola Electricity Distribution Company Limited (TEDC) on the instructions of MRC Consultants, a pioneer energy experts, engaged by Quest Electricity Nigeria Limited, who emerged as the preferred bidders for both Discos.
• Currently advising both MRC Consultants and Quest Electricity Nigeria Limited in relation to the relevant transaction documents prepared by the BPE to further the actualization of the sale of JEDC and YEDC respectively.
• Acted for and reviewed LTSA for a Swiss based Energy Consulting firm on behalf of a Nigerian venture for a Greenfield IPP project in South East, Nigeria.
• Engaged by a Spanish Client to advise and undertake with an international law firm from Argentina, FGM Lawyers, legal due diligence on a South-South State Government-owned power plant and to review strategic industry and transaction agreements for the Nigerian client.
• Acted as Solicitors to a Spanish client to undertake legal advisory and regulatory work, legal due diligence, advise, review strategic transaction and industry agreements in the bid processes for privatisation of Afam Power Company Plc (GENCO) and Kaduna Electricity Distribution Company (DISCO), both PHCN Successor Companies, for two Nigerian Companies.
• Currently advising a Federal Government parastatal as external solicitors and were part of the team that reviewed the its trust deed for additional pension benefit scheme pursuant to the Pension Reform Act 2004.
• Currently advising NDPHC on the installation, maintenance and collection of payments in respect of the 20,000 units of solar home lighting system in conjunction with Azuri Power Company Limited.
• Acted as Legal Auditor to Nigeria Electricity Liability Management Company Ltd/Gte to carry out a comprehensive due diligence in respect of pending court cases involving Jos Electricity Distribution Company Plc in both Jos and Makurdi.
• Advised and assisted in incorporating the local subsidiary in Nigeria of a global utility advisory firm, MRC Consultants and rendered other ancillary services.
• Advised and incorporated a JV involving an energy advisory global leader and a Nigeria partner to exploit the opportunities in the value added segment of metering in the electric retail sphere.
• Advised an Abuja based Federal Government agency in the power sector to draft and perfect its assignment of real estate holdings to a subsidiary in Delta State, Nigeria.
• Part of the team that carried out a review for the Bureau of Public Enterprises (BPE), a government agency tasked with and overseeing the ongoing privatisation process in Nigeria, of all legal and regulatory frameworks for the commercialization of State owned assets.
• Provided Legal opinion and legal services in relation to Mergers and Acquisitions (M&A), Share Transfer, Intellectual Property rights, Contract Disputes and new legislation in Trade, Tax and Oil and Gas issues for various foreign and Nigerian companies.
• Represented clients before regulatory and administrative bodies, and acted as liaison between clients and various agencies of government at State and Federal levels. Very conversant with the workings of government and the various regulatory agencies from a combined pool of in-house experience garnered over the years from a history of similar transactions coupled with the considerable goodwill and reputation nurtured and sustained at the same time.
• Acted as local counsel with two International law firms on acquisitions by Core Investors of majority shareholding in the privatization of five of the National Integrated Power Plants (NIPP) being privatized by the Niger Delta Power Holding Company (NDPHC). Conducted general legal due diligence and review of regulatory compliance and corporate structure of the successor companies as well as Assets/liabilities title verification; ensured compliance with regulatory requirement as well the preparation of necessary documentation; and conducted general due diligence on the said five Generation Companies.
• With an international law firm, reviewed the following Agreements: Power Purchase Agreement; Shareholders Agreement; Share Sale and Purchase Agreement; Performance Agreement; Use of Transmission Network System Agreement; Liability Transfer Agreement; Deed of Assignment of Pre-Completion Receivables; Grid Connection Agreement; Operation and Maintenance Agreement (O&M), Gas Sale and Supply Agreement, etc.
• Acted as local legal advisers to different consortia in diverse energy transactions in the unbundling of the Nigerian Power sector, State assets privatization, NIPP projects and IPPs with a Spanish Client, who is a global leader in the Utilities Consulting Industry, as lead consultants and international law firms in Europe and Latin America.
